Terms & Conditions

1. Definitions and Interpretation

1.1. In these Terms and Conditions, unless the context otherwise requires:

"Agreement" or "Contract" means the legally binding contract formed between the Company and the Client, comprising these Terms and Conditions, the written Quotation, any Schedules, and any other documents expressly incorporated by reference.

"Business Day" means any day other than a Saturday, Sunday, or public holiday in Scotland.

"Client", "you", or "your" means the person, firm, or company who accepts the Company's Quotation and enters into this Agreement.

"Company", "we", "us", or "our" means Maclean Joinery Ltd, a company registered in Scotland.

"Completion" means the date on which the Works are finished in accordance with the Quotation, subject to any agreed variations, and are ready for inspection.

"Deposit" means the initial payment required before commencement of the Works as specified in the Quotation.

"Force Majeure Event" means any event beyond the reasonable control of either party as set out in Clause 19.

"Quotation" means our written estimate for the Works, which forms part of this Agreement when accepted by the Client.

"Site" means the property or location where the Works are to be carried out, as specified in the Quotation.

"Works" means the joinery services, materials, and labour to be provided by the Company as specified in the Quotation and this Agreement.

"Working Day" means any day on which the Company is able to carry out work on the Site, subject to weather conditions, access, and other relevant factors.

1.2. References to statutory provisions shall include those provisions as amended, extended, or re-enacted from time to time.

1.3. Headings are for convenience only and shall not affect the interpretation of these Terms and Conditions.

1.4. Words in the singular include the plural and vice versa; words importing any gender include all genders.

2. Introduction and Formation of Contract

2.1. These Terms and Conditions shall apply to and form part of the Agreement between the Company and the Client to the exclusion of all other terms and conditions.

2.2. The Company is not bound by any terms and conditions put forward by the Client unless expressly agreed in writing and signed by a director of the Company.

2.3. Any samples, drawings, descriptive matter, or advertising issued by the Company are issued for illustrative purposes only and shall not form part of this Agreement.

3. Quotations and Estimates

2.1. All quotations are valid for 30 days from the date of issue unless otherwise stated.

2.2. Quotations are based on the information provided at the time and site conditions as observed during the initial survey or consultation.

2.3. Any variations to the agreed specification may result in additional charges, which will be communicated to you before work proceeds.

2.4. We reserve the right to revise quotations if material costs increase significantly between quotation and project commencement.

3. Acceptance and Contract Formation

3.1. A contract is formed when you accept our quotation in writing (including email) and pay the required deposit.

3.2. Written acceptance constitutes your agreement to these Terms and Conditions.

3.3. Any amendments to the contract must be agreed in writing by both parties.

4. Payment Terms

4.1. Deposit: A deposit of [typically 30-50%] of the total project cost is required before work commences.

4.2. Stage Payments: For larger projects, payments may be structured in stages as outlined in the quotation.

4.3. Final Payment: The balance is due upon completion of the work and before we leave the site.

4.4. Payment methods accepted include bank transfer, cash, and cheque.

4.5. Late payments may incur interest charges at a rate of 8% above the Bank of England base rate per annum.

4.6. We reserve the right to suspend or terminate work if payments are not made in accordance with the agreed schedule.

 

5. Project Timeline

5.1. We will provide an estimated start date and project duration in our quotation.

5.2. Whilst we endeavour to meet all timelines, dates are estimates and may be subject to change due to factors including:

  • Weather conditions

  • Material delivery delays

  • Unforeseen site conditions

  • Changes to the scope of work

  • Client-requested variations

5.3. We will keep you informed of any delays and their expected impact on the project timeline.

5.4. We shall not be liable for any losses arising from delays beyond our reasonable control.

6. Scope of Work

6.1. The scope of work is as detailed in the written quotation and any subsequent written amendments.

6.2. Any work outside the agreed scope will be subject to additional charges.

6.3. If unforeseen issues are discovered during the project (e.g., structural problems, hidden pipework), we will inform you immediately and provide a revised quotation for any necessary additional work.

7. Site Access and Conditions

7.1. You must provide clear and safe access to the work area throughout the project duration.

7.2. You are responsible for removing or protecting any valuable items or furniture in the work area.

7.3. We will take reasonable care to protect your property during work, but cannot accept liability for pre-existing damage or items you have not removed from the work area.

7.4. You must ensure that all necessary utilities (water, electricity) are available for our use during the project.

7.5. If access is restricted or delayed through no fault of ours, additional charges may apply.

8. Materials and Specifications

8.1. Unless otherwise agreed, we will supply all materials specified in the quotation.

8.2. Materials will be of satisfactory quality and fit for purpose.

8.3. Where specific brands or products are specified, we reserve the right to substitute equivalent alternatives if the specified products become unavailable.

8.4. If you wish to supply your own materials, this must be agreed in writing beforehand, and we accept no liability for defects in client-supplied materials.

8.5. Any materials supplied by you must be on site before work commences to avoid delays.

9. Changes and Variations

9.1. Any changes to the agreed specification must be requested in writing.

9.2. We will provide a written quotation for any variation before work proceeds.

9.3. Variations may impact the project timeline and overall cost.

9.4. We reserve the right to refuse variations that we consider impractical or unsafe.

10. Subcontractors and Third Parties

10.1. We may engage specialist subcontractors (including electricians, plumbers, and other tradespeople) to complete certain aspects of the work.

10.2. All subcontractors used are appropriately qualified and insured.

10.3. We remain responsible for the overall coordination and quality of work carried out by our subcontractors.

11. Warranties and Guarantees

11.1. We guarantee our workmanship for a period of [12 months/specify period] from the date of completion.

11.2. This guarantee covers defects arising from faulty workmanship but does not cover:

  • Normal wear and tear

  • Damage caused by misuse or neglect

  • Defects in materials supplied by you

  • Alterations or repairs carried out by third parties

  • Damage caused by circumstances beyond our control

11.3. Manufacturer warranties apply to materials and products as per the manufacturer's terms.

11.4. To maintain your guarantee, you must follow any maintenance instructions provided.

12. Insurance and Liability

12.1. We maintain appropriate public liability insurance.

12.2. We shall not be liable for:

  • Loss or damage to items you have not removed from the work area

  • Consequential losses or loss of profit

  • Delays caused by factors beyond our reasonable control

  • Pre-existing defects discovered during the course of work

12.3. Our total liability under this contract shall not exceed the total contract value.

13. Health and Safety

13.1. We will conduct all work in accordance with current health and safety legislation.

13.2. You must inform us of any known hazards on site (e.g., asbestos, structural issues).

13.3. For your safety, we may restrict access to work areas during certain stages of the project.

14. Completion and Inspection

14.1. Upon completion, we will notify you and arrange a joint inspection of the work.

14.2. You will have the opportunity to raise any concerns at this inspection.

14.3. We will rectify any defects or incomplete work as soon as reasonably practicable.

14.4. Final payment becomes due once you have confirmed satisfactory completion or after rectification of any agreed defects.

15. Cancellation and Termination

15.1. Your Right to Cancel: You may cancel the contract within 14 days of acceptance if work has not yet commenced (in accordance with Consumer Contracts Regulations 2013). Deposits paid will be refunded in full.

15.2. Cancellation After Work Commences: If you cancel after work has started, you will be liable for:

  • All work completed to date

  • Materials ordered or purchased

  • Any cancellation fees from suppliers or subcontractors

  • A reasonable sum for administration and lost profit

15.3. Our Right to Terminate: We reserve the right to terminate the contract if:

  • Payments are not made in accordance with agreed terms

  • You fail to provide access to the site

  • There is abusive behaviour towards our staff or subcontractors

15.4. In the event of termination by us, you will only be charged for work completed and materials supplied up to the date of termination.

16. Complaints Procedure

16.1. We are committed to providing excellent service and welcome feedback.

16.2. If you have any concerns during the project, please contact us immediately:

16.3. We will acknowledge complaints within 2 working days and aim to resolve issues as quickly as possible.

16.4. If you are not satisfied with our response, you may refer the matter to an independent dispute resolution service or seek legal advice.

17. Data Protection

17.1. We process your personal data in accordance with UK data protection legislation (UK GDPR and Data Protection Act 2018).

17.2. We will only use your personal information for:

  • Providing our services to you

  • Processing payments

  • Communicating about your project

  • Complying with legal obligations

17.3. We will not share your personal information with third parties except as necessary to complete your project (e.g., with subcontractors) or as required by law.

17.4. We will retain your data for a period of [6 years] for accounting and warranty purposes.

17.5. You have the right to request access to, correction of, or deletion of your personal data.

18. Photography and Marketing

18.1. We may request permission to photograph completed projects for marketing purposes.

18.2. We will always seek your written consent before using photographs of your property.

18.3. You have the right to refuse or withdraw consent at any time.

19. Force Majeure

19.1. We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to:

  • Extreme weather conditions

  • Natural disasters

  • Strikes or industrial action

  • Pandemics or public health emergencies

  • Government restrictions

  • Failure of suppliers or subcontractors

19.2. We will notify you as soon as reasonably practicable of any force majeure event and its expected impact on the project.

20. Dispute Resolution

20.1. In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation.

20.2. If negotiation fails, both parties may agree to mediation before pursuing legal action.

20.3. These Terms and Conditions are governed by the laws of Scotland.

20.4. Both parties submit to the exclusive jurisdiction of the Scottish courts.

21. Entire Agreement

21.1. These Terms and Conditions, together with our written quotation, constitute the entire agreement between the parties.

21.2. Any previous discussions, correspondence, or representations are superseded by this agreement.

21.3. No variation to these terms shall be valid unless made in writing and signed by both parties.

22. Severability

22.1. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
